ATTORNEY PROFILESPARTNERS:Donald R. Adair, Esq. (dadair@adairlaw.com) Managing PartnerDon has served as counsel to businesses, both large and small, for 37 years. He counsels them on a very wide range of legal matters, negotiates for them on all types of transactions and relationships, and represents them with regulatory agencies. Don has extensive experience assisting companies with their start-up and growth strategies, financings of all types, acquisitions and dispositions, distribution relationships, intellectual property protection, compensation and benefit arrangements, relationships among owners, and a wide range of other contractual relations. Don has also worked to help companies implement leveraged buyouts, management succession plans, and employee stock ownership plans (ESOPs). Among many other clients, Don currently represents: a nationally and internationally known developer of advanced GPS technology; a nationally and internationally known manufacturer of construction equipment, a nationally known manufacturer of major porcelain products, a developer of biologically based environmental clean-up products, and a developer of Internet marketing services. Don serves on various corporate and charitable boards and has co-authored a book on limited liability companies. He is an honors graduate of Harvard College and Cornell Law School. Adam has represented businesses for more than 20 years. He counsels businesses in a wide range of legal matters including, mergers, acquisitions, and reorganizations; business formation; corporate financing transactions; contract drafting and review; intellectual property law; business succession planning; employment law; and other corporate governance matters. A significant portion of Adam’s practice also includes commercial real estate matters and financing transactions. He represents clients involved in the purchase and sale of commercial and industrial properties, and represent clients and lenders in lending transactions (including traditional bank financing, asset based lending, and venture capital financing). He also represents owners and tenants in commercial leasing matters. Adam has counseled clients on various environmental issues, including matters related to petroleum spills and underground storage tank compliance, hazardous waste storage and disposal regulations, and other issues arising under federal and New York State environmental laws and regulations. Adam is a graduate of Cornell University (B.A. 1982) and Cornell Law School (J.D. 1985). He is a member of the Monroe County Bar Association, and serves as Vice Chairman of the Monroe County Bar Association’s Business Council. He is also active in various community organizations and is an active Board Member of the New York State Industries for the Blind. ASSOCIATES:Garrett serves businesses in a wide range of legal matters, including all phases of formation, operation, and dissolution of business entities, financing transactions, including private placements of securities, drafting and negotiating asset and stock purchase agreements, commercial lease agreements, non-compete agreements, stockholder agreements, operating agreements, and various other corporate organizational and transactional agreements; and advising clients on other general corporate and contractual matters.Garrett holds an Accounting degree from Rochester Institute of Technology (B.S., 1998), a law degree with a concentration in Financial Transactions from SUNY Buffalo School of Law (J.D., 2001); and a Master of Laws degree in Banking and Finance Law from Boston University School of Law (LL.M, 2002). Garrett is also a member of the New York State Bar Association and the Monroe County Bar Association; Garrett serves as Co-Chair on the Membership & Member Benefits Committee and sits on the House/Finance & Audit Committee of the Monroe County Bar Association.
Garrett resides in Rochester, New York with his wife, Linda, and their four children–Layton, Jude, Keeghan, and Pierce.
OF COUNSEL: Norma A Polizzi, Esq. (npolizzi@adairlaw.com) Of Counsel
Norma is presently Of Counsel to the Firm. She concentrates her practice in all phases of commercial litigation in state and federal court. She also focuses on environmental compliance work, including handling SEQRA and underground storage tank issues. In addition, she is an adjunct professor of environmental law at SUNY Brockport.
Norma is Treasurer of the Greater Rochester Association for Women Attorneys and sits on the Communications Committee of the Monroe County Bar Association. She is admitted to practice in New York State, U.S. District Court for the Western District of New York and the U.S. Supreme Court.
She is President of the Hidden Valley Homeowners Association, and is active in many other community organizations, including the Rochester Women's Network, Center for Environmental Information, Volunteer Legal Services Project to name a few.
Norma obtained her Bachelor of Arts degree from SUNY Albany and her law degree from SUNY Buffalo School of Law.
